1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and SupplierDataStatement.com ("we", "us", "our", or the "Platform"). By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms in their entirety.
If you do not agree to these Terms, you must immediately cease all use of the Service. Continued use of the Service after any modification to these Terms constitutes acceptance of the modified Terms.
2. Description of Service
SupplierDataStatement.com is a self-service, web-based platform that enables businesses to generate Scope 3 emissions data statements. The Service includes:
- A guided wizard for entering energy, fuel, material, transport, and waste data.
- Automated emissions calculations based on published emission factors (DEFRA 2025, EPA, GHG Protocol).
- Generation of PDF data statements and CSV data exports.
- SHA-256 integrity hashing for document verification.
- Secure online payment processing.
The Service is priced at $2,500 USD (or the equivalent in local currency via Razorpay/INR) per statement.
3. Eligibility & Account Registration
- You must be at least 18 years old and have the legal authority to bind the organisation you represent.
- You must provide accurate, complete, and current registration information. Providing false information is grounds for immediate account termination.
- You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at support@supplierdatastatement.com if you suspect unauthorised access to your account.
- We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion and without notice.
4. User Responsibilities & Data Accuracy
You are solely and entirely responsible for the accuracy, completeness, and truthfulness of all data you enter into the Platform.
- The emissions calculations produced by the Platform are only as reliable as the input data you provide. Garbage in, garbage out.
- You acknowledge that you have a duty to verify the accuracy of your input data before submitting a statement for payment and generation.
- You warrant that you have the necessary rights and authorisations to submit the company and operational data entered into the Platform.
- You must not enter data belonging to a third party without proper authorisation.
5. Payments, Refunds & Pricing
5.1 Payment
- Payment is required before your statement is generated and delivered.
- Payments are processed securely by Razorpay (primary) or Stripe, subject to their respective terms of service.
- All prices are exclusive of applicable taxes unless stated otherwise.
5.2 Refund Policy
- No refunds will be issued once a statement has been successfully generated and delivered to you (status: "completed").
- If statement generation fails due to a system error on our side (status: "failed"), you are entitled to a full refund or a re-generation at no additional cost, at our discretion.
- Refund requests for failed statements must be submitted within 30 days of the original transaction to support@supplierdatastatement.com.
- Refunds will not be issued for statements generated based on incorrect data that you provided.
5.3 Price Changes
We reserve the right to change our pricing at any time. Price changes will not affect statements that have already been paid for.
6. Statement Deliverables & Correction Window
- Upon successful payment, your statement will be processed and made available for download as a PDF document and CSV data export.
- A 48-hour correction window applies from the time a statement is marked as completed. During this window, you may contact us to request minor data corrections. After this window closes, no modifications are possible and a new statement must be purchased.
- Each statement includes a SHA-256 integrity hash. This hash is generated at the time of completion and serves as proof that the document has not been altered. We do not guarantee that the hash will be accepted by any specific regulatory body.
7. Intellectual Property
- The Platform, including all source code, design, text, graphics, logos, and software, is the exclusive property of SupplierDataStatement.com and is protected by applicable intellectual property laws.
- You retain ownership of the raw data you input. We retain ownership of the statement format, templates, calculation methodology, and software.
- You are granted a non-exclusive, non-transferable, revocable licence to use the generated statement documents solely for your business purposes (e.g., sharing with your EU customers for CSRD compliance).
- You must not reverse-engineer, decompile, disassemble, copy, redistribute, or create derivative works of the Platform or its methodology.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
- WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND TITLE.
- We do not warrant, represent, or guarantee that the emissions calculations, statements, or any output produced by the Platform are accurate, complete, error-free, or suitable for any regulatory, audit, or compliance purpose.
- We do not warrant that the Service will be uninterrupted, timely, secure, or free from errors, viruses, or other harmful components.
- The emission factors used (DEFRA, EPA, GHG Protocol) are sourced from publicly available databases. We do not guarantee their accuracy or ongoing availability.
- The Platform does not provide legal, financial, environmental, or professional advice. Statements generated are data documents, not certified audits or assurance reports.
- We make no representation that the Service or its outputs satisfy the requirements of CSRD, ESRS E1, or any other regulation in any jurisdiction. It is your sole responsibility to verify regulatory compliance with qualified professionals.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL SUPPLIERDATASTATEMENT.COM, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, REGULATORY FINES OR PENALTIES, OR REPUTATIONAL HARM, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE ACTUALLY PAID US FOR THE SPECIFIC STATEMENT GIVING RISE TO THE CLAIM, OR $2,500 USD, WHICHEVER IS LESS.
- YOU EXPRESSLY AGREE THAT WE SHALL BEAR NO LIABILITY WHATSOEVER FOR ANY DECISIONS, ACTIONS, OR OMISSIONS MADE BY YOU OR ANY THIRD PARTY IN RELIANCE ON THE STATEMENTS, CALCULATIONS, OR ANY OUTPUT GENERATED BY THE PLATFORM.
10. Indemnification
You agree to indemnify, defend, and hold harmless SupplierDataStatement.com and its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service or any breach of these Terms.
- The accuracy, completeness, or legality of data you submit.
- Your use of generated statements for any regulatory, commercial, or legal purpose.
- Any third-party claim arising from your use of the Platform or its outputs.
- Your violation of any applicable law or regulation.
11. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or to submit fraudulent data.
- Misrepresent generated statements as independently audited or certified reports.
- Attempt to gain unauthorised access to the Service, other user accounts, or our systems.
- Interfere with or disrupt the Service, including by introducing malware, conducting denial-of-service attacks, or automated scraping.
- Circumvent or attempt to circumvent any security measures, rate limits, or access controls.
- Resell, sublicence, or commercially redistribute the Service or its outputs without our prior written consent.
- Use automated bots, scripts, or tools to access the Service.
12. Termination
- We may suspend or terminate your account and access to the Service at any time, for any reason, without prior notice or liability, including for violation of these Terms.
- You may request account deletion at any time by contacting support@supplierdatastatement.com.
- Upon termination, your right to use the Service ceases immediately. Completed statement documents may remain available for download for a reasonable period (up to 30 days) following termination.
- Sections 4, 8, 9, 10, 13, and 14 of these Terms shall survive any termination or expiration.
13. Governing Law & Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
- Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, India.
- You waive any right to participate in a class action, collective action, or representative proceeding.
- Notwithstanding the above, we retain the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property rights or prevent irreparable harm.
14. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- No waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely.
- Force majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, war, terrorism, power failures, internet outages, or third-party service failures.
- Modifications: We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service constitutes acceptance.
