Terms of Service

1. Service Description

Supplier Data Statement provides a Supplier Activity Data Statement generation service. The service converts supplier-provided activity data into formatted reports suitable for supporting EU buyer CSRD Scope 3 disclosures.

2. User Responsibilities

By using this service, you agree to:

• Provide accurate and truthful activity data
• Use the service only for legitimate business purposes
• Not misrepresent the nature of the generated report
• Not use the service for fraudulent purposes
• Comply with all applicable laws and regulations

3. Payment Terms

• Fee: $2,500 USD per report (one-time payment)
• Payment: Required before report download
• Regeneration: Free within 13 months of initial payment
• Refunds: No refunds after report download
• Currency: All prices in US Dollars

4. Intellectual Property

Upon payment, you receive a non-exclusive, non-transferable license to use the generated SPADS report for its intended purpose (supporting EU buyer procurement requirements).

The report format, methodology documentation, and underlying calculation engine remain the intellectual property of Supplier Data Statement.

5. Limitation of Liability

To the maximum extent permitted by law, Supplier Data Statement shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of business, revenue, or contracts
• Errors in emission factor databases maintained by third parties
• Buyer rejection of the report for any reason
• Damages exceeding the amount paid for the service

6. Data Accuracy

The accuracy of the generated SPADS report depends entirely on the accuracy of the data you provide. We perform basic validation (rejecting negative values, normalizing units) but do not verify the truthfulness of your inputs.

You are solely responsible for ensuring that the data you provide is accurate and represents your actual operations.

7. Emission Factor Accuracy

We use emission factors from recognized sources (Climatiq, EPA, DEFRA). These factors are updated periodically by their respective publishers. We do not guarantee the accuracy of third-party emission factor databases.

8. Service Availability

We strive to maintain 99.9% service availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

9. Termination

We reserve the right to refuse service or terminate access for users who violate these terms, provide fraudulent data, or engage in abusive behavior.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11. Changes to Terms

We may modify these terms at any time. Continued use of the service after changes constitutes acceptance of the modified terms.
